Code of Ethics

The Code of Ethics defines the key principles of conduct for BRANO Group employees and serves as a guide for handling legal and ethical situations. Our reputation is the foundation of our success and is built on the commitment of employees worldwide to adhere to the code and all relevant legal and internal regulations. These principles of conduct are deeply embedded in our corporate culture.

At BRANO Group, we emphasize the importance of adhering to ethical and legal standards in all aspects of our activities. To ensure our actions align with these values, we provide all employees with the opportunity to report any suspicions of unethical or illegal behavior through our internal whistleblowing system.

What Can Be Reported?

You can report illegal or unethical activities that:

  • Constitute a criminal offense,
  • Constitute a misdemeanor for which the law prescribes a fine of at least CZK 100,000,
  • Violate the Whistleblower Protection Act,
  • Violate other legal regulations or European Union regulations in the areas of:
    • Financial services, mandatory audits, and other verification services, financial products, and financial markets;
    • Corporate income tax;
    • Prevention of money laundering and terrorist financing;
    • Consumer protection;
    • Compliance with product requirements, including safety;
    • Transport safety, transport and road traffic operations;
    • Environmental protection;
    • Food and feed safety and animal protection and health;
    • Radiation protection and nuclear safety;
    • Competition, public auctions, and public procurement;
    • Internal security and public order, life, and health protection;
    • Data protection, privacy, and the security of electronic communication networks and information systems;
    • Protection of the financial interests of the EU;
    • Functioning of the internal market, including competition and state aid under EU law.

Whistleblower Protection

Whistleblowers are entitled to protection under the law, and no retaliatory actions can be taken against them. Retaliatory actions include termination of employment, reduction of wages, changes in working conditions, and other negative consequences associated with making a report.

Reports can also be made through the external whistleblowing system of the Ministry of Justice, either orally or in writing.

Publicly Available Information

Information on how to report and the internal whistleblowing system, the designation of the responsible person, and the exclusion of receiving reports from persons who do not perform work or other similar activities for the company are published in a manner allowing remote access on the company's website www.brano.group

Suppliers (Compliance by Suppliers)

The Brano Group focuses on promoting its compliance program not only within the company but also with its suppliers. Collaboration with suppliers is contingent upon adherence to the Code of Ethics, which is a fundamental requirement for establishing and maintaining business relationships.

Additional requirements for suppliers are detailed in the General Purchasing Conditions of the Brano Group. Compliance with these conditions and the fulfillment of individual supplier obligations may be verified through audits and surveys. These checks aim to ensure that our suppliers operate in accordance with agreed standards and contribute to maintaining high levels of ethics and quality throughout the supply chain.
